Terms and conditions
This SeerPharma Pty Ltd (SeerPharma) End-User Licence Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and SeerPharma for DISCover, which includes computer software including associated media, printed materials and electronic documentation. By registering for this module, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use DISCover. DISCover is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
DISCover is licensed, not sold.
Access to and use of this product is subject to the following terms and conditions:
- The client recognises SeerPharma Pty Ltd’s copyright ownership of the DISCover training materials, including associated assessments. Material may not be copied, reproduced, republished, downloaded, posted, broadcast, or transmitted in any way. Any other use requires the prior written permission of SeerPharma Pty Ltd. You agree not to adapt, alter, or create a derivative work from any of the material contained in this product or use it for any other purpose.
- You agree to use this product only for lawful purposes, and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of this product by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may harass or cause distress or inconvenience to any person.
- This product and the information, images, pictures, logos, and icons regarding or relating to SeerPharma Pty Ltd, its products and services (or to third party products and services), is provided “as is” and on an “is available” basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
- In no event will SeerPharma Pty Ltd be liable for any damages including, without limitation, indirect or inconsequential damages, or any damages whatsoever arising from use or loss of use, data, or profits, whether in action of contract, negligence or other tortious action, arising out of or in connection with the use of the product.
- Networks may operate in many different ways; therefore, SeerPharma does not accept any liability for difficulties encountered or in any way warrant the software for network operation. Network issues are the responsibility of the licensee. SeerPharma may be able to arrange assistance beyond that given in the Help files on a commercial basis should this be required.
- SeerPharma Pty Ltd does not warrant that the functions in the material contained in this product will be uninterrupted or error free, that defects will be corrected, or that this product or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy, and reliability of the materials.
- The images and logos identifying SeerPharma Pty Ltd or third parties and their products and services are proprietary marks of SeerPharma Pty Ltd and/or third parties.
- Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any trademark or patent of SeerPharma Pty Ltd or any other third party.
- If there is any conflict between these terms and conditions and rules and/or specific terms of use appearing in this product relating to specific material, then the latter shall prevail.
- If any of these terms and conditions should be determined to be illegal, invalid, or otherwise unenforceable by reason of the laws of any state or country in which these terms and conditions are intended to be effective, then to the extent and within the jurisdiction which that term or condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining terms and conditions shall survive, remain in full force and effect and continue to be binding and enforceable.
- These terms and conditions shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Disputes arising here shall be exclusively subject to the jurisdiction of the courts of Victoria.
- If these terms and conditions are not accepted in full, the use of this product must be terminated immediately.
GRANT OF LICENCE
- Access to the modules is for 90 days from initial set-up.
- Each DISCover license may not be accessed by more than one learner without prior permission.
- The DISCover modules are not to be used in conjunction with face-to-face training without prior permission.
COPYRIGHT

All other titles and copyrights in and to DISCover (including but not limited to any images, photographs, animations, video, audio, music, text, and applets incorporated into DISCover), the accompanying printed materials, and any copies of DISCover are owned by SeerPharma. DISCover is protected by copyright laws and international treaty provisions. Therefore, you must treat DISCover like any other copyrighted material.
TERMS AND CONDITIONS OF USE OF SOUTHROCK LMS
Access to and use of this product is subject to the following terms and conditions:
- The client accepts a non-exclusive, non-transferable sublicense to use the Southrock LMS.
- The client acknowledges that Talent2 Works Pty Ltd is, and will remain, the owner of all intellectual property rights in Southrock LMS. The client has no rights or interests in Southrock LMS or in any modifications, enhancements, updates, or new releases of Southrock LMS.
- The client agrees not to, and to not permit others to, copy, reproduce, adapt, merge with other software, modify, decompile, reverse-engineer, disassemble, or translate all or any part of Southrock LMS.
- Without limitation, the client must not use Southrock LMS other than in accordance with the terms of this document.
- Southrock LMS is provided “as is”. Talent2 Works Pty Ltd and SeerPharma Pty Ltd provide no warranty and accept no liability with respect to the fitness of Southrock LMS for a particular purpose. To the extent permitted by applicable law, Talent2 Works Pty Ltd and SeerPharma Pty Ltd are not liable to the client for:
o loss of production or operation time, loss, damage, or corruption of data and records;
o loss of anticipated savings, opportunity, revenue, profit or goodwill, or other economic loss; or
o any indirect, consequential, incidental, punitive or exemplary damages, however caused, and whether arising under contract, tort (including negligence) or otherwise.
- Talent2 Works Pty Ltd and SeerPharma Pty Ltd will not disclose personal information disclosed to either of them pursuant to third parties without the client’s permission unless one of the exceptions to the Privacy Act applies.
Cancellation policy
Cancellations must be notified in writing to SeerPharma, and a full refund minus a $50.00 processing fee will be made. No refunds will be given for cancellations once the module has been attempted. Substitutions are strictly not allowed. Please advise SeerPharma in writing.
Privacy
SeerPharma is bound by the National Privacy Principles (NPPs) set out in the Federal Privacy Act 1988. SeerPharma will collect information provided in the online registration form to enable us to register your attendance at the conference, to assist with administrative purposes and for future planning and development of SeerPharma events and to allow compilation and analysis of statistics. The information provided in the online registration form and information provided at any time during the event, including without any limitation any feedback obtained during the event, will be used by SeerPharma to offer, provide and continue to improve its events and services, unless you indicate in writing that you do not want this information shared. SeerPharma will not otherwise, without your consent, disclose your personal information for any purpose unless it would reasonably be expected that such purpose is related to the provision and improvement of SeerPharma events or where such purpose is permitted or required by law.
